Terms of Service

These Terms of Service ("Terms") govern your use of Ad Spec Studio (the "Service"), operated by [COMPANY NAME] ("we," "us"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to it.

1. The Service

Ad Spec Studio transcodes and quality-checks advertising creative (video, audio, and display assets) against delivery specifications for distribution platforms. The Service produces renditions and informational QC reports.

2. No guarantee of platform acceptance

QC reports and renditions are informational tools, not guarantees. Distribution platforms and vendors set, interpret, and change their own specifications and make final acceptance decisions at their sole discretion. We do not warrant that any file produced or validated by the Service will be accepted by any platform, vendor, or publisher, and we are not responsible for rejected creative, delayed campaigns, missed flight dates, or related costs.

3. Accounts

You must provide an accurate email address and keep your credentials confidential. You are responsible for activity under your account. We may suspend or terminate accounts that violate these Terms.

4. Subscriptions and billing

• Paid access is billed as a recurring subscription through Stripe, our payment processor. We do not store your card details.
• Subscriptions renew automatically each billing period until canceled. You can cancel any time through the billing portal; cancellation takes effect at the end of the current billing period.
• Except where required by law, payments are non-refundable, including for partial periods or unused capacity. [ADJUST IF YOU WANT A REFUND POLICY]
• We may change pricing with at least 30 days' notice; changes apply at your next renewal.
• If a payment fails, access may be suspended until payment is brought current.

5. Fair use limits

Subscriptions include up to [300] transcodes per calendar month per organization as a fair-use limit. We may contact you about persistent usage above this level and offer an appropriate plan, or throttle processing. Automated, scripted, or resold access to the Service is not permitted without our written agreement.

6. Your content

• You retain all rights to the files you upload. You grant us a limited license to store, process, transcode, and analyze them solely to provide the Service.
• You represent that you have all necessary rights to the content you upload and that it does not infringe any third party's intellectual property, privacy, or publicity rights, and complies with applicable law (including, for political advertising, applicable disclaimer and disclosure requirements).
• Uploaded media files are automatically deleted from our servers approximately one hour after their last use. QC history (filenames, presets, check results) is retained with your account.

7. Acceptable use

You may not use the Service to process unlawful content; attempt to probe, disrupt, or overload the Service; reverse engineer it; or use it to build a competing service. We may remove content or suspend access where we reasonably believe these Terms are violated.

8. Availability

The Service is provided on an "as available" basis. We aim for high availability but do not guarantee uninterrupted operation, and we may modify, suspend, or discontinue features with reasonable notice where practical.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

11. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access for breach of these Terms. Upon termination, your right to use the Service ends; Sections 2, 6, 9, 10, and 12 survive.

12. General

These Terms are governed by the laws of the State of [STATE], without regard to conflict-of-law rules, and disputes will be resolved in the state or federal courts located in [COUNTY, STATE]. We may update these Terms; material changes will be communicated by email or in-app notice, and continued use after the effective date constitutes acceptance.
